Wholesale Terms & Conditions
South Cali, a brand of HYPD Pty Ltd (ABN 83 160 592 790) shall only supply goods on the following terms and conditions unless the Company agrees, in writing, to vary these Terms and Conditions:
In these Terms and Conditions of Sale, the expression “the Company” shall mean HYPD Pty Ltd, and the expression “the Purchaser” shall mean any party contracting for the supply of products by the Company.
- For all deliveries in the Australia there is a flat fee of $20.00 (ex. GST) for freight no matter how large or heavy the parcel/s are. For international deliveries, freight will be calculated by the company and included in the postage and handling.
- Bulky items may attract a small freight surcharge.
- If the Purchaser is supplied a POS sunglass stand, the POS is owned by the Company and is supplied solely for the display of the goods sold
- The POS must show the company signage at all times
- If and when the Purchaser discontinues to sell the Company’s product, the purchaser must return the POS within 14 days to the company
All prices are listed in AUD dollars. Prices are subject to change without notice. Retailers are responsible for all shipping costs.
For all orders there is a minimum of 24 units. Prices quoted on the Order Form do not include GST or delivery and/or handling charges. The Company shall be entitled to adjust any price quoted from time to time and the Purchaser agrees to pay the adjusted price to take account or variations in the cost to the Company. The Company cannot accept responsibility for out of date prices published in the Company’s own trade price list. GST is added to net prices at the rate ruling the date of despatch; variations in the costs of rates of all statutory, government or local government or governmental authority charges and obligations; or any corrections of errors or omissions on the part of the Company or any of its representatives.
Changes to Orders
Any changes or cancellation to orders must be emailed to firstname.lastname@example.org within 48 hours of the order.
Once the order has been placed, you will be sent an invoice via email. Payment must be made within 30 days of receipt of the invoice and the order will not be delivered until the invoice has been paid in full. Payment can be made via electronic bank transfer, Paypal or credit card.
Damaged or Lost Goods
Products must not be signed for if damaged and should be reported to the Company immediately (within 48 hours maximum) to arrange a replacement. The Company will not accept claims for damage inflicted to products in transit if the delivery is signed for and accepted by the Purchaser. The Company will not accept responsibility for any part delivery or delay in delivery of the goods as a result of events occurring beyond the Company’s control. The Company will not be in any way responsible for any consequences (direct or indirect) arising from such delay or non-delivery.
The Company shall deliver the goods to the address stated on the Purchaser’s Order Form after payment of the invoice has been received. Any changes to the nominated delivery address must be communicated in writing by the Purchaser as soon as possible. The Company shall be entitled to charge for and recover from the Purchaser on demand, all costs or loss occasioned by the failure by the Purchaser to collect or take delivery of the goods. The Company shall deliver the goods by such carrier and such form of transport considered appropriate by the Company. Delivery date or time cannot be guaranteed and is subject to the carrier’s schedule and terms and conditions of sale. For delivery turnaround times refer to the Company’s standard Order Form.
Returns / Exchanges
Wholesale merchandise may not be returned or exchanged. We only accept returns in the case of defective merchandise as noted above.
At this time, we are not able to do consignment.
Retailers cannot sell South Cali product for less than our RRP unless given prior consent.

These Terms and Conditions and any contract made between the Company and the Purchaser hereunder shall be governed by and constructed in accordance within the laws of the State of Victoria.
